RWA Glossary

17 core RWA terms defined in plain language - what they mean, and what to check.

Key factsData verified:2026-10-27

365rwa.vip is a Chinese-language verification site for RWA (real-world asset tokenization). It maintains four public databases - issued-project dossiers, a global licensed-institution registry, a regulatory feed and a market tracker - and offers a free authenticity-check tool, five-dimension ratings and a published methodology. No ads, no paid placements, no advertorials.

RWA (Real World Asset tokenization)

Mapping ownership or cash-flow rights of traditional assets (bonds, money-market funds, private credit, real estate, equities, commodities) onto blockchain tokens. The token creates no value by itself; value comes from the off-chain asset and its legal structure. The first questions are always: does the underlying asset really exist, who custodies it, and can you legally enforce your claim.

Tokenization

Registering and transferring a right in token form. The hard part is not the chain but the legal structure: true sale, bankruptcy remoteness, and an enforceable claim on the underlying asset. On-chain registration without legal structuring changes only the bookkeeping.

Notice No. 42 (Feb 2026)

A February 2026 notice by the PBoC and seven other departments: Mainland entities may not conduct RWA token issuance, and overseas entities may not provide such services to Mainland entities. Compliant routes therefore sit in offshore jurisdictions such as Hong Kong.

True sale / bankruptcy remoteness

A true sale legally transfers assets from the originator to an SPV so they stay outside the originator bankruptcy estate. Without it, investors merely hold an unsecured claim against the sponsor.

SPV (Special Purpose Vehicle)

A separate legal entity used to ring-fence asset risk. Check its jurisdiction, directors, audit arrangements, and whether the assets were actually transferred into it.

Custody

Who holds the underlying assets or reserves. Good structures use an independent licensed custodian with periodic reconciliation; red flags include assets remaining with the sponsor or a related-party custodian.

Proof of reserve

Evidence that reserves exist. On-chain balances only prove address transparency - not ownership by the issuer, and not absence of rehypothecation. Independent attestation is materially stronger.

Redemption terms

How and when investors can convert tokens back to cash or the underlying asset: frequency, minimum holding, fees, suspension rights. Risk often hides in suspension clauses rather than asset quality.

Lock-up

A period during which tokens cannot be transferred or redeemed. Length alone is not the issue; opacity and lack of independent reporting during the lock-up are.

Investor eligibility

Most jurisdictions require RWA offerings to target professional or qualified investors with minimum ticket sizes and risk disclosure. Public solicitation to retail is usually a violation signal.

Tokenized T-Bills and money-market funds

The largest and most transparent RWA category: short-term treasuries or money-market funds, yield from coupons, main risks are rates and counterparty. Examples: BUIDL, FOBXX, OUSG, USDY, USTB.

Private credit

RWA backed by corporate or consumer loans. Check borrower concentration, delinquency disclosure cadence, real workout cases, and whether the credit decision-maker is the same entity as the issuer.

Secondary-market liquidity

Whether you can exit. Three signals: listings on major exchanges, continuous market-maker quotes, and always-on redemption. Tokens transferable only inside the issuer platform have near-zero liquidity.

Oracle / NAV feed

The mechanism that pushes off-chain NAV and rates on-chain. Risks: single feed, manual override, silent staleness. Best practice: independent multi-source feeds with deviation alerts and staleness circuit-breakers.

Smart-contract risk and audits

Bugs, excessive privileges (unbounded minting, arbitrary freezing), upgrade backdoors. An audit is necessary but not sufficient - check upgradeability, multisig admin keys, and whether privileges can be renounced.

Licensed institution is not a safe product

A licence means the firm is supervised, not that every product it sells is compliant - and third parties may misuse its name. Always check the official register, the product filing, and whether the receiving account matches the licensed entity.

Concept-riding scams

Projects branded as RWA with no real assets or legal structure. Red flags: yields far above peers, opaque income sources, unverifiable underlying assets, urgency to transfer, USDT-only payments to personal accounts. Check the four databases first; absence means high risk.
